This study aims to analyze legal certainty in the post-acquisition integration process and its impact on the protection of shareholders' rights based on the Limited Liability Company Law (UUPT) and the Financial Services Authority Regulation (POJK). Using a normative legal approach and case studies, this study finds that the absence of specific regulations, weak supervisory mechanisms, and the lack of synchronization of corporate culture are the main factors causing integration failure and potential losses for shareholders, especially minority shareholders. To realize a fair and sustainable integration process, it is necessary to strengthen internal governance based on the principles of Good Corporate Governance (GCG), risk-based supervision, and external regulatory reforms that are more responsive to business dynamics. This study recommends the active involvement of authorities in regulating post-acquisition integration and the implementation of transparent and accountable evaluation mechanisms to protect the interests of all stakeholders. These findings contribute to the formulation of a fair and adaptive integration model in the Indonesian legal and economic environment.

Default, or breach of contract, is a common problem in business transactions and can have significant impacts, both financially and non-financially. This article analyzes the various forms of default, such as failure to fulfill obligations, delays, or non-performance in accordance with the agreement. The impact of default is not only directly related to financial losses—for example through fines or damages—but can also damage business relationships and the company's reputation. Therefore, good contract design is very important in reducing this risk. Effective contract design should include clear clauses regarding obligations, deadlines, and sanctions that apply in the event of a breach. Penalty clauses are often used to provide incentives for the parties involved to fulfill their obligations. Furthermore, in the context of globalization and international transactions, it is important for contracts to include clear dispute resolution mechanisms, such as mediation or arbitration, to avoid escalation of problems. This article aims to provide practical guidance for companies in designing contracts that not only reduce the risk of default, but also ensure the sustainability of mutually beneficial business relationships. With a thorough understanding of legal risks and the implementation of appropriate mitigation measures, companies can maintain smooth operations and prevent major losses due to default.   Keywords : Default, Breach Of Contract, Contract Drafting, ,, , Mediation, Arbitration, Corporate Reputation, Risk Management.

PT. Dian Swastatika Sentosa generates electricity through a private thermal power plant. This company produces steam and electricity for paper mills. The company hopes to meet its steam and electricity needs in 2023 with a boiler with a load capacity of 180 tons and a maximum capacity of 220 tons. However, from February to July 2023, that goal was not achieved. The most common problems faced by this company are the failure to conduct preventive inspections and timely machine maintenance, as well as the failure to carry out necessary repairs. Delays in machine repairs, which result in inconsistent machine downtime schedules to meet customer demand, leading to damage to boiler equipment, causing abnormal boiler operation and reduced steam production. This research aims to design equipment to withstand operational impacts using failure mode and effects analysis (FMEA) with the Soft Systems Methodology (SSM) and reliability-centered maintenance (RCM) techniques. The RCM method assists in identifying the processes that must be followed to guarantee that a machine or system performs as intended. RCM can also be used to design, choose, and create alternative maintenance methods that are focused on safety, operations, standards, and economics. For the entire problem in the investigation, a dynamic model is necessary. An analytical system is used in this model in order to recognize and duplicate the features of the overall system., as well as to provide repair solutions and address the burden of the problem. This research produces a presentation in the form of problem identification, causal loops, diagrams of machines that frequently experience failures, rich images of the causes and effects of the ball plate crusher liner damage, root cause definitions, and conceptual models for repair and maintenance. business productivity and debating process.

Teachers are the most important component in the learning process in education. However, many students are not interested and bored during the learning process; some even fall asleep after being promised something. Students' ability to understand learning materials is influenced by various internal and environmental variables. Helping students in learning will have a negative impact on their development and quality of life in the future if not managed properly by parents and teachers. Therefore, parents, schools, and instructors all contribute to helping children overcome their challenges. Teachers have an important influence in the lives of their students. Thus, this diagnostic seeks to identify the root causes of students' learning challenges and identify solutions. This study aims to (1) identify factors that cause learning difficulties, (2) identify procedures and techniques for analyzing learning difficulties diagnosis, (3) determine the location of students' learning challenges or problems, and (4) help students who experience learning difficulties. Data collection was carried out using two techniques, namely observation of the teaching and learning process (PBM) and the student environment, as well as interviews with parents and instructors. According to the results of the study, students were less enthusiastic about learning because they were less interested and even tended to be lazy. Some students dislike some subjects because of their inability to understand certain elements. Therefore, such students rarely complete the assignments given and almost never take notes on certain lesson topics. Furthermore, the lack of interest in learning for some students can also be caused by their inability to understand the information that the instructor is trying to convey. This is caused by the failure of teachers to provide detailed examples of how to solve problems, and some teachers even fail to include examples when explaining the lesson content.

This study investigates the bond strength of Glass Fiber Reinforced Polymer (GFRP) bars in concrete at high temperatures. Twenty-four specimens were tested at 600°C to replicate fire conditions and analyze performance consequences in structural applications, with variables such as bar diameter and position within the concrete taken into account. The results show a considerable drop in binding strength, notably in edge-positioned bars with thinner covers, which is related to thermal degradation of the epoxy resin. The stress-slip relationship revealed significant increases in slippage, particularly for bigger diameter bars, as well as the vulnerability of GFRP bars to high temperatures. Failure modes shifted mostly to splitting following exposure, emphasizing the importance of design concerns in fire-prone structures. These findings improve our understanding of GFRP performance in harsh situations, influencing material selection for greater fire resilience.

The objective this study is to analyze the implementation of Bandung Barat Regency Regional Regulation No. 5 of 2018 about the Placement and Protection of Indonesian Migrant Workers (PMI) originating from Bandung Barat Regency referring to the Hill and Hupe's theory of Policy Implementation. This matters all the more since the migrant worker-related cases that garner the highest volume if not interest–like illegal, clandestine worker departures, back wages, and exploitation–reflect the lack of protection systems, the unmet obligation towards the respect of individual rights and human dignity. This qualitative case study reveals key factors influencing policy implementation — low levels of socialization and knowledge about the regulation among migrant workers, absence of inter-agency coordination and poor resources for monitoring and enforcement In addition, it builds upon the variables presented by Hill and Hupe in order to present a more integrated analysis of the implementation process of the policy. These results highlight failures in the system, including the lack of inter- agency cross country collaboration and low resource allocation toward the functions that protect PMI. In light of this, the study makes a range of recommendations including for better policy socialization, improved inter-agency coordination and enforcement, and strengthening resourcing and legal compliance capabilities. Practical implications This study advances the theory of public administration and provides practical insights for policymakers, particularly for strengthening the protection of Indonesian migrant workers in an effective manner.
